EC clears INEOS's acquisition of Kerling, following a Phase II investigation


The European Commission has unconditionally cleared the acquisition of Kerling ASA of Norway by the UK-based chemicals company INEOS following a phase II investigation. Both parties are active in the production, marketing and sale of polyvinyl chloride (PVC) and caustic soda. The Commission was particularly concerned about the impact of the transaction on sales of commodity Suspension PVC (S PVC) mainly in the UK, but also in Norway and Sweden. After an in-depth investigation, the Commission accepted that customers in the UK will remain able to economically source S PVC from other producers located in North Western Europe and therefore the transaction will not reduce competition.

A team from CRA International's London office including Cristina Caffarra, Diana Jackson, Ian Small, Dan Donath, Vicki Mertzanidou and Hristina Dantcheva assisted the merging parties throughout the European Commission proceedings.
