European Commission approves the proposed merger between Alcatel and Lucent Technologies

The European Commission has cleared the merger between Alcatel and Lucent Technologies after a Phase I investigation. The two companies supply telecommunications equipment and related services to operators of communications networks, including service providers, governments and enterprises worldwide. The merger has been cleared without conditions despite the high combined shares in some product areas (particularly in optical networking equipment and broadband access solutions). The Commission concluded that the market structure would remain competitive post-transaction as a number of effective competitors would remain in the market and the customers would constrain the merged entity through their countervailing power in bidding procedures. The transaction was also investigated by the DOJ. A team of CRA International from London, Washington and Boston advised the parties both before the European Commission and the DOJ.
