Bridge financing in $180 million merger dispute

A CRA team was retained by counsel to support an external expert in a dispute arising from a failed $180 million planned merger. Central to the case were the terms and conditions of a proposed bridge financing to be provided by the acquiring firm and whether those terms were consistent with customary market practice.

The CRA team supported that expert by evaluating the covenants and conditions of the proposed financing through a comparative review of similar bridge loans used in merger transactions. In addition, CRA analyzed the target firm’s historical performance, financial condition, and projected outlook to assess its ability to obtain alternative financing in the period leading up to the scheduled closing.
