CRA was retained by counsel for a large manufacturer in a securities class action litigation filed in United States District Court in Oregon arising from its acquisition by a financial sponsor. The CRA team supported experts in three areas. CRA Senior Consultant and Harvard Business School Professor Richard Ruback was retained to analyze issues related to the adequacy of financial information and potential damages. A second CRA-supported expert testified on the compensation that the manufacturer’s executives stood to earn as a result of the acquisition. CRA also supported an expert on class certification who analyzed the role of merger arbitrageurs in cash-for-stock transactions.
